  5. NON-SHAREWARE VERSION (NSV) DISTRIBUTION LICENSE.  If you are a reseller of 
  6. commercial networking software and are interested in reselling GroupEase
  7. please contact us. We maintain a value-added reseller (authorizerd agents)
  8. distribution channel that reaches many end-users.

  11. ETHOSOFT, INC. END-USER LICENSE
  12.  
  13. NOTICE TO USERS ("COMPANY"):  CAREFULLY READ THE FOLLOWING LEGAL 
  14. AGREEMENT. COMPANY'S USE OF THIS SOFTWARE IS CONDITIONED UPON 
  15. COMPLIANCE BY COMPANY WITH THE TERMS OF THIS AGREEMENT. THE SOFTWARE 
  16. MAY BE EVALUATED FOR THIRTY DAYS ON A ROYALTY FREE BASIS.  CONTINUED 
  17. USE AFTER EVALUATION IS CONDITIONED UPON PAYMENT BY COMPANY OF THE 
  18. LICENSE FEE SPECIFIED IN A CONFIRMATION LETTER FROM ETHOSOFT, INC. 
  19. ("ETHOSOFT"). (PRICES FOR STANDARD SIZE CONFIGURATIONS OF THE 
  20. PRODUCT CAN BE FOUND IN THE ACCOMPANYING FILE: GEORDER.TXT.)

  22. The Software may not be distributed by Company to any outside corporation, 
  23. organization or government agency.  This license authorizes Company to use 
  24. the number of copies as indicated in a confirmation letter from Ethosoft and 
  25. for which Company has paid Ethosoft the negotiated license fee.  If the 
  26. confirmation letter from Ethosoft indicates that Company's license is 
  27. "Corporate-Wide", this license will be deemed to cover copies duplicated and 
  28. distributed by Company for use on any additional incremental machines 
  29. purchased or leased by Company during the Term, at no additional charge.  If 
  30. Company does not obtain a confirmation letter and pay the applicable license 
  31. fee, this license expires at the end of the thirty day evaluation period.

  33. I.   SINGLE POINT OF CONTACT.  Support for Software bug reports and other 
  34. product issues will be handled through a single point of contact within 
  35. the Company.  Company shall identify the contact individual when placing 
  36. its order with Ethosoft or Ethosoft's Authorized Agent.  There will be 
  37. no charge for support of the Software from the Company's headquarters in 
  38. Medford when channelled through such individual.  Support requests from 
  39. other organizational areas will be billed at normal hourly support rates.

  41. II.  PRODUCT SUPPORT.  Telephone, and CompuServe support for GroupEase is 
  42. available at no additional charge for 90 days after purchase.
  43.  
  44. III. GENERAL TERMS.
  45.  
  46. COPYRIGHT.  The Software is protected by United States copyright laws 
  47. and international treaty provisions.  Company acknowledges that no 
  48. title to the intellectual property in the Software is transferred to 
  49. Company.  Company further acknowledges that full ownership rights to 
  50. the Software will remain the exclusive property of Ethosoft or its 
  51. suppliers, and Company will not acquire any rights to the Software 
  52. except as expressly set forth in this license.  Company agrees that 
  53. any copies of the Software made by Company will contain the same 
  54. proprietary notices which appear on and in the Software.
  55.  
  56. REVERSE ENGINEERING.  Company agrees that it will not attempt, and will use 
  57. its best efforts to prevent its employees from attempting to reverse compile, 
  58. modify, translate or disassemble the Software in whole or in part.
  59.  
  60. LIMITED WARRANTY.  Ethosoft warrants that the Software will perform 
  61. substantially in accordance with the accompanying documentation for a period 
  62. of ninety (90) days from the date Ethosoft receives payment.
  63.  
  64. COMPANY REMEDIES.  If the Software does not conform to the limited warranty 
  65. above ("Limited Warranty"), Ethosoft's entire liability and Company's sole 
  66. and exclusive remedy shall be, at Ethosoft's option, either to (a) correct 
  67. the error, (b) help Company work around or avoid the error or (c) authorize a 
  68. refund, so long as the Software is destroyed by Company.  The Limited 
  69. Warranty is void if failure of the Software has resulted from accident, 
  70. abuse, or misapplication.  Any replacement Software will be warranted for the 
  71. remainder of the original Limited Warranty period.
  72.  
  73. NO OTHER WARRANTIES.  ETHOSOFT DOES NOT WARRANT THAT THE SOFTWARE IS ERROR 
  74. FREE. EXCEPT FOR THE EXPRESS LIMITED WARRANTY ABOVE, ETHOSOFT DISCLAIMS ALL 
  75. OTHER WARRANTIES WITH RESPECT TO THE SOFTWARE, EITHER EXPRESS OR IMPLIED, 
  76. INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS 
  77. FOR A PARTICULAR PURPOSE AND NONINFRINGEMENT OF THIRD PARTY RIGHTS.

  79. SEVERABILITY.  In the event of invalidity of any provision of this license, 
  80. the parties agree that such invalidity shall not affect the validity of the 
  81. remaining portions of this license.
  82.  
  83. NO LIABILITY FOR CONSEQUENTIAL DAMAGES.  IN NO EVENT SHALL ETHOSOFT 
  84. OR ITS SUPPLIERS BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL OR INDIRECT 
  85. DAMAGES OF ANY KIND ARISING OUT OF THE DELIVERY, PERFORMANCE OR USE 
  86. OF THE SOFTWARE, EVEN IF ETHOSOFT HAS BEEN ADVISED OF THE POSSIBILITY 
  87. OF SUCH DAMAGES.  IN NO EVENT WILL ETHOSOFT'S LIABILITY FOR ANY CLAIM, 
  88. WHETHER IN CONTRACT, TORT OR ANY OTHER THEORY OF LIABILITY, EXCEED 
  89. THE LICENSE FEE PAID BY COMPANY.
  90.  
  91. EXPORT.  Company agrees that it will not export or re-export the Software 
  92. to North Korea, Vietnam, Cuba, Iran or Iraq without the appropriate United 
  93. States or foreign government licenses.
  94.  
  95. GOVERNING LAW.  This Agreement will be governed by the laws of the State 
  96. of Massachusetts.  The United Nations Convention on Contracts for the 
  97. International Sale of Goods is specifically disclaimed.
  98.  
  99. U.S. GOVERNMENT RESTRICTED RIGHTS.  If the Software is acquired (i) for use 
  100. by DoD, use, duplication or disclosure by the Government is subject to the 
  101. terms of this license unless superseded by 252.227-7013(c)(1)(ii) or (ii) 
  102. for use by civilian agencies, use, reproduction or disclosure is subject 
  103. to the terms of this license unless superseded by 52.227-19.

  105. ENTIRE AGREEMENT.  This Agreement together with any Ethosoft confirmation 
  106. letter constitute the entire agreement between Company and Ethosoft which 
  107. supersedes any prior agreement, including any prior license from Ethosoft, 
  108. or understanding, whether written or oral, relating to the subject matter of 
  109. this Agreement.  The terms and conditions of this Agreement shall apply to 
  110. all orders submitted to Ethosoft and shall supersede any different or 
  111. additional terms on purchase orders from Company.
